1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Black Acre Services Ltd Trading As TradesAI ("TradesAI Lab", "we", "us", or "our") governing your access to and use of the TradesAI Lab website, applications, and related services (collectively, the "Service").

By creating an account, accessing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy & Cookie Policy and Disclaimer. If you do not agree with any part of these Terms, you must not use the Service.

2. Definitions

• Account: the unique account you create to access the Service.
• Content: any data, text, journals, notes, screenshots, trade records, or other material you upload, submit, or generate within the Service.
• Service: the TradesAI Lab trade journaling and analytics platform and all associated features, including integrations with third-party brokers and platforms.
• Subscription: a paid plan that grants access to certain features of the Service for a recurring period.
• You: the individual or entity accessing or using the Service.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. The Service is not directed to anyone under the age of 13, and we do not knowingly collect data from them.

4. Accounts and Registration

To access certain features, you must register for an Account and provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. You agree to notify us immediately at support@trades.ai of any unauthorised use of your Account. We are not liable for any loss or damage arising from your failure to protect your credentials.

5. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
• attempt to gain unauthorised access to the Service, other accounts, or any systems or networks connected to the Service;
• reverse engineer, decompile, scrape, or otherwise attempt to extract the source code or underlying data of the Service, except as permitted by law;
• upload or transmit malware, or otherwise interfere with or disrupt the integrity or performance of the Service;
• misrepresent your identity, impersonate any person or entity, or use the Service to harass, abuse, or harm others;
• resell, sublicense, or commercially exploit the Service without our prior written consent.

We reserve the right to suspend or terminate Accounts that violate this section, at our sole discretion.

6. Subscriptions, Fees, and Payments

Certain features of the Service are offered on a paid Subscription basis. By purchasing a Subscription, you authorise us and our payment processors to charge the applicable fees to your chosen payment method on a recurring basis until you cancel.

• Fees are billed in advance and are non-refundable except where required by applicable law.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• We may change our fees from time to time; any changes will apply to the billing cycle after we provide reasonable notice.
• You are responsible for any taxes associated with your use of the Service, other than taxes based on our net income.

If a payment fails, we may suspend or downgrade your access until the outstanding amount is resolved. For billing issues, please contact support@trades.ai.

7. Your Content

You retain all ownership rights in the Content you submit to the Service. By submitting Content, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, and display that Content solely as necessary to operate and provide the Service to you.

You are solely responsible for your Content and represent that you have the necessary rights to submit it. We may remove Content that violates these Terms or applicable law.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by or licensed to TradesAI Lab and is protected by intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you. You may not use our name, logos, or branding without our prior written permission.

9. Third-Party Services and Integrations

The Service may integrate with third-party platforms, brokers, and exchanges (such as MetaTrader 5, Binance, and Bybit) through secure connections. These integrations are provided for your convenience and are subject to the terms and policies of those third parties. We do not control and are not responsible for the availability, accuracy, or conduct of third-party services, and your use of them is at your own risk.

10. No Financial Advice

TradesAI Lab is a trade journaling and analytics platform. It does not provide financial, investment, legal, tax, or accounting advice, and nothing within the Service constitutes a recommendation or solicitation to buy, sell, or hold any security or financial instrument. Any decisions you make based on information from the Service are your sole responsibility. 11. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data or analytics it produces will be accurate or complete. Trading involves significant risk of loss and is not suitable for all investors; past performance is not indicative of future results.

12. Limitation of Liability

To the maximum extent permitted by law, TradesAI Lab and its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or trading losses, arising out of or relating to your use of, or inability to use, the Service. In no event shall our aggregate liability exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless TradesAI Lab and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your Content, or your violation of these Terms or any applicable law.

14. Termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will continue to apply.

15. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of Malta, and shall be subject to the exclusive jurisdiction of the Courts of Malta.
